General Assembly

ART.6. (UNITER Statute) The General Assembly is the supreme governing body of the UNITER Association and is convened annually by the President or the Board of Directors. The decisions of the General Assembly are adopted by a simple majority of the members present, in the absence of a contrary stipulation. The General Assembly is convened in special session once every 4 (four) years for the election of the governing bodies.

ART.7.
(1) The General Assembly is statutorily convened in the presence/with representation of at least half plus 1 of the total number of members with voting rights present, considered present by the vote transmitted or represented and takes decisions by a simple majority (50+1) of those present/represented, unless the statute provides otherwise. Representation means the expression of will (vote) through a representative/delegate, as well as the manifestation of will (vote) in relation to the agenda of the General Assembly expressed remotely and communicated in any way that ensures proof, including by electronic mail.

(2) If the quorum mentioned in paragraph 1 is not met at the first convocation, a new General Assembly, which may be convened for the same day, may deliberate and decide on the basis of at least 50+1 of the number of members present. A single convocation may also be carried out, indicating the above-mentioned mentions.

(3) The vote may also be cast by a delegate with a written mandate. The mandate is considered valid if granted under private signature, until proven otherwise. Delegates must be members of the UNITER Association and will be designated, as a rule, from within the theatrical groups.

(4) Members of the UNITER Association who are not part of theatrical groups may also designate delegates.

(5) The vote may also be cast by correspondence. The person who expresses his/her vote expressly by correspondence (post, e-mail) or by delegate is considered present at the General Assembly.

(6) The convening of the General Assembly is carried out at least 30 days in advance, by publication in a widely circulated newspaper and/or by posting on the UNITER Association website.

(7) The decisions taken by the General Assembly within the limits of the law, the constitutive act and the Statute are binding for the members, even if they did not take part in the General Assembly and even if they voted against it.

(8) The balance sheet is published on the website of the UNITER Association and is communicated to the members in an extract. The approval of the balance sheet and the related reports and the discharge of management is validly approved by the General Assembly by the vote of half plus one of the number of members with voting rights who express their vote by the approval deadline shown on the website and/or through the communications sent. The provisions of art. 7 para. (7) are applicable.

ART.8.
(1) The General Assembly has the following powers:
a) debates and decides on the activity of the UNITER Association and adopts guidelines regarding its activity;
b) establishes the strategy and main objectives of the activity of the UNITER Association for the next period;
c) makes proposals to the legal authorities in order to regulate issues related to the activity of the UNITER Association;
d) amends the Statute;
e) only the General Assembly may proceed to dissolve the UNITER Association by a vote of 2/3 of the members of the UNITER Association;
f) approves the Annual Financial Statements, the Balance Sheet, the Budget of Income and Expenditures, etc.;
g) elects by vote, with a simple majority of those present, for a period of 4 years, from among the members of the UNITER Association – the President, the Executive Vice-President (proposed by the President) and the other 13 full members of the Board of Directors, together with a number of 4 alternate members, in order of the number of votes obtained, as well as the 2 members of the Censors Commission. The President and the Executive Vice-President are ex officio members of the Board of Directors.
The election of the President is based on candidacy, from among the prominent members of the UNITER Association, involving the presentation of a Program for the development of the UNITER Association and concrete proposals for its practical application. The candidacies and Programs of the candidates will be submitted 2 months before the General Election Assembly, to the secretariat of the UNITER Association.
The number of mandates of the President and the Executive Vice-President is not limited.
The President must be a member of the UNITER Association, be a prominent figure in the theatrical world with at least 10 years of experience as a member of the UNITER Association and have held a leadership position in the structures or projects of the UNITER Association.
h) any other duties provided for by law or in the statute.
