Senate – UNITER Board of Directors

According to the UNITER Statute updated in accordance with the Decision of the General Assembly of April 2020 and according to the President’s Decision No. 190 / March 17, 2021:

ART.9.

  1. The Board of Directors is the coordinating body of the UNITER Association.
  2. The Board of Directors of the UNITER Association is made up of 15 full members and 4 alternates, who must necessarily include all the artistic professions that constitute the structure of the UNITER Association.
  3. The President and the Executive Vice-President are ex officio members of the 15 full members of the Board of Directors. The President has the right of veto. The other 13 members of the Board of Directors, as well as the 4 alternate members of the Board of Directors of the UNITER Association are elected by the General Assembly for a period of 4 years, after the election of the President and the Executive Vice-President.
  4. In the event that vacancies arise in the Board of Directors, they will be filled by alternates, in order of the number of votes obtained.
  5. The work of the Board of Directors is led by the President, and in his absence, by the Executive Vice-President, who also provides the secretariat of the Board of Directors.

ART.10.

  1. The Board of Directors meets at least once every 6 months, as well as when convened by the President or at least 3 members of the Board of Directors and makes decisions by simple majority of those present and/or based on the communication of decisions by e-mail or by post.
  2. If a member of the Board of Directors is absent without reason from 3 consecutive meetings, he may be replaced by the Board of Directors Decision by the alternate member with the highest number of votes, who becomes a full member. Alternate members may voluntarily substitute a permanent member in the Senate meetings by their convention.

 

ART.11.The Senate ensures the achievement of the purpose and objectives of the Association, exercising the following duties:

  1. establishes the general strategy and programs of the UNITER Association;
  2. analyzes and approves the programs, projects and activities of the UNITER Association;
  3. periodically analyzes the activity of the UNITER Association and recommends measures for its improvement;
  4. presents to the General Assembly the Activity Report for the previous period, the Execution of the Income and Expenditure Budget, the Balance Sheet, the Draft Income and Expenditure Budget and the draft programs of the Association;
  5. monitors the achievement of the objectives of the UNITER Association according to the Statute and legal norms in force;
  6. awards the “For the entire activity” and “For excellence” awards
  7. confers the status of “Honorary Member of the UNITER Association”;
  8. approves the granting of scholarships, prizes and aids for members of the UNITER Association (through specialized committees);
  9. elects from among its members the Disciplinary Committee, consisting of 3 members and the Committee for Validating Membership of the UNITER Association, consisting of 5 members, the Committee for Awarding Merit Allowances, consisting of 5 members and the Social Committee, consisting of 5 members;
  10. approves the annual financial statements, the income and expenditure budget and the balance sheet, as well as the auditors’ report;
  11. approves the organization chart and personnel strategy of the Association;
  12. establishes, dissolves or transforms, at the proposal of the President, economic units;
  13. fulfills the legal duties of the employer regarding the establishment of the salary level of the President and the Vice-President;
  14. proposes amendments to the Statute and submits it to the General Assembly for approval;
  15. fulfills any other duties provided for by law or in the Statute;
  16. establishes by vote the amount of the registration fee and the membership fee;
  17. approves the establishment of subsidiaries or commercial companies, respectively participation in the establishment of commercial companies;
  18. validates or invalidates the decisions of the specialized Commissions within the Board of Directors (Senate).
